Hereunder are detailed the terms and conditions set out by SoftServe Systems Ltd, having its seat and registered office at Part Lower Ground Floor, 30 Cannon Street, London, England, EC4M 6XH (herein referred to as “SoftServe”, “we”, or “us”) for any event organised or conference sponsorship by SoftServe (the “Event”).
By registering for an Event organized by SoftServe, You are agreeing to comply with and be bound by these Terms and Conditions. Before registering for the Events organized by SoftServe, make sure that You carefully read and understand this document detailing the applicable terms and conditions.
SoftServe will use its reasonable, good faith efforts to organize the Event for You. We try to make sure that Event programs, speakers, topics, venues, and dates are correct at the time of publishing. SoftServe reserves the right to make substitutions, alterations, postponements, or cancellations to the content, format, themes, name, performers, hosts, moderators, speakers, venue, timing or dates of the Event for any reasons. We reserve the right to do so at any time and will not be liable to You for any cost, direct and indirect damages incurred by You as a result (including, without limitation, travel, accommodation, and other expenses). In the event of any changes, we will endeavor to notify You as soon as reasonably practicable by posting the updated information on the Event website homepage or by sending an email to You or otherwise contacting You.
If circumstances change and You can no longer attend the Event, please notify us about this at your earliest convenience by clicking the appropriate link in the email You received upon registering or by providing email notification of cancellation to the contact email indicated in your registration confirmation email.
You shall comply with all reasonable safety and other announcements and/or directions whilst attending the Event. Subject to a reasonable justification, SoftServe has the right to refuse entry to the Event to any person or to require them to cease participating in any activity. If You are found to be behaving in a manner deemed unsociable, disruptive, harassing, offensive, discriminatory, or potentially dangerous, in breach of these Terms and Conditions or any instructions or directions given to You by any SoftServe representative at the Event, Softserve reserves its right to exclude You from the Event. By attending the Event You agree to comply with all applicable laws in connection therewith.
SoftServe has no responsibility for lost or stolen property. The following articles are not permitted within the Event venue – illegal substances, weapons, dangerous or hazardous items, offensive materials, petrol generators and such other items as SoftServe may deem to be prohibited or dangerous. Any person found in possession of such items may be refused entry into or ejected from the Event venue.
Registering and attending the Event is available only to individuals who are at least twenty-one (21) years old or otherwise over the legal drinking age in your jurisdiction. By attending the Event You represent and warrant not to be under the legal drinking age in your jurisdiction.
In the event of any incident You hereby agree to defend, hold harmless and keep indemnified SoftServe and its related companies, affiliates, subsidiaries, third-party service providers, respective employees, contractors, agents, officers, and directors from and against all claims, liability, damages, losses, costs, expenses, including legal fees, that arise out of or are related to any breach of these Terms and Conditions by You or any other liabilities incurred by us arising out of your attendance or participation to the Event.
WE AND OUR AFFILIATES WILL NOT BE LIABLE TO YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR (B) LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. IN ANY CASE, OUR AND OUR AFFILIATES’ AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED USD $100.
You acknowledge and agree that Your attendance and participation in the Event is voluntary, and You understand the nature of the Event. To the maximum extent permitted by law, You agree that You solely assume the risks associated with attending and participating in the Event.
Your health and safety are of the utmost importance to us, and we appreciate Your cooperation in diligently following all guidelines according to local government and Worldwide Health Organization`s regulations. With this in mind, we ask that You adhere to the following during the Event: no one experiencing symptoms, having a temperature, or having been exposed to COVID-19 within 14 days of the date will attend the Event.
The Parties agree to negotiate in good faith to resolve any dispute between them. If the negotiations do not resolve the dispute to the reasonable satisfaction of all Parties, then the Parties agree that they shall consider dispute resolution alternatives other than litigation. If an alternative method of dispute resolution is not agreed upon, any party may begin litigation proceedings. The legislation of the nation in which SoftServe is incorporated shall govern these Terms and Conditions.
If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court, the invalid or unenforceable provision shall be severed or amended in such a manner as to render the rest of the provisions and remainder of the Terms and Conditions valid or enforceable.
SoftServe makes no warranties of any kind, whether express or implied, in relation to the Event, including but not limited to certain personal or business results, implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, condition or completeness, or any implied warranty arising from the course of dealing or usage or trade.
You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all material or content contained within the website and/or Event materials shall remain at all times owned by us or our affiliates and licensors. You must not reproduce or allow anyone to reproduce trademarks or materials distributed by or on behalf of us at the Event for any reason, without our prior written permission. Nothing in these Terms and Conditions shall vest in You any legal or beneficial right in or to any intellectual property rights owned or used under license by Us or our related companies or grant to You any right or license to any other intellectual property rights of us or our related companies. All such intellectual property rights shall remain the exclusive property of us and our related companies.
We are not liable for failure or delay in performance of our obligations under these Terms and Conditions to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, electrical or power outages, utilities or other telecommunication failures, earthquake, storms, or other elements of nature, natural disasters, terrorism, riots, or war.
Each party shall treat in confidence all information obtained from the other pursuant to these Terms and Conditions that is confidential in nature (which shall include details of the sponsorship fee, if applicable) and shall use such confidential information solely for the purpose of exercising its rights or performing its obligations hereunder. Any confidential information shared by participants is confidential and proprietary and belongs to the one who discloses it and Softserve shall not be responsible for the confidentiality of such information.
By attending the Event You acknowledge and agree that the Event (or any part of it) may be photographed or recorded (video/streaming/audio) by Us or our partners. You grant Us and our related companies, affiliates, agents, employees, and assigns or any third party authorized by us an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right to use, reproduce, modify, distribute, and translate, for any purpose relating to our business, all or any part of the photos and recordings without any further approval from You or any payment to You. These photos and recordings may then be used in our publications, advertisements, or other media (including the internet). If You do not wish to be photographed and/or recorded, You can contact the Event coordinator and we will instruct the engaged professional service providers accordingly. At the same time, we cannot guarantee that You will not appear in one of the photos or records. If You have seen yourself in one of the marketing publications, You can exercise Your right to object to the processing of any of Your image on the photos and/or videos or any other record made during the Event by sending an appropriate request to the email address privacy@softserveinc.com. At Your request, we will take all reasonable steps to avoid using Your image on photos and records in the future publications. It may not be technically possible to remove Your image from current publications.
